NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR RECEIVE A REWARD. A PURCHASE OR PAYMENT WILL NOT INCREASE YOUR CHANCES OF RECEIVING A REWARD. NOT EVERY PLAYER OF THE MET ART LINKS GAME (THE “GAME”) WILL BE ELIGIBLE TO ENTER INTO THE MET ART LINKS REWARDS GIVEAWAY PROMOTION (THE “PROMOTION”), AND NOT EVERY ENTRANT WILL RECEIVE A REWARD. Void where prohibited by law and outside the United States. Subject to all federal, state, and local laws, regulations and ordinances. The Promotion begins on January 23rd, 2025 at 10:00 AM Eastern Time (“ET”) and ends on April 16th, 2025 at 11:59:59 PM ET (the “Promotion Period”). Administrator’s computer is the official timekeeping device for this Promotion.

BY PARTICIPATING IN THIS PROMOTION, YOU AGREE TO THESE OFFICIAL RULES, WHICH ARE A CONTRACT, SO READ THEM CAREFULLY BEFORE PARTICIPATING. WITHOUT LIMITATION, THIS AGREEMENT PROVIDES FOR A CLASS ACTION AND JURY TRIAL WAIVER, A REQUIREMENT THAT MOST DISPUTES BE SETTLED BY MANDATORY BINDING ARBITRATION, AND A LIMITATION OF YOUR RIGHTS AND REMEDIES.  IT ALSO INCORPORATES BY REFERENCE IN FULL THE MET ART LINKS GAME RULES, AND THE SPONSOR’S TERMS OF USE AND PRIVACY POLICY, AND ADMINISTRATOR’S TERMS OF USE AND PRIVACY POLICY. BY ENROLLING OR PARTICIPATING IN THE GAME AND/OR THE PROMOTION, YOU ACKNOWLEDGE AND AGREE TO SPONSOR’S PRIVACY POLICY  AND  TERMS AND CONDITIONS, AND ADMINISTRATOR’S PRIVACY POLICY  AND TERMS OF SERVICE, EACH OF WHICH ARE INCORPORATED HEREIN BY REFERENCE.

Please note: certain Rewards require the Reward recipient to attend a Reward-related event at the time and location identified by Sponsor. Reward recipients who are unable to attend the Reward-related event at the specific time indicated will be required to forfeit their Reward and an alternate Reward recipient will be selected.

1.         SPONSOR/ADMINISTRATOR: The Sponsor for this Promotion is The Metropolitan Museum of Art (“Sponsor”),  1000 5th Avenue, New York, NY 10028, and the Administrator is TRLab US INC. (“Administrator”) 99 Hudson Street, 5th Floor, PMB 7267,  New York, NY 10019.

THIS GAME IS IN NO WAY SPONSORED, ENDORSED OR ADMINISTERED BY, OR ASSOCIATED WITH, META PLATFORMS, INC (INCLUDING FACEBOOK OR INSTAGRAM), X CORP., TIKTOK, INC., ALPHABET INC (INCLUDING GOOGLE LLCS), OR DISCORD, INC.

2. ELIGIBILITY: The Promotion is open only to legal U.S. residents of the 50 United States or Washington, D.C. who are (a) 18 years of age or older at the time of entry, (b) who have confirmed their Rewards eligibility before or during Game play between January 23rd, 2025 and April 16h, 2025 (the “Promotion Period”), and (c) who have collected Achievements as defined in the Game Rules and herein (each, an “Entrant”). For information on how to play the Game and the full Game Terms, please visit https://cdn.trlab.com/the-met/rules/game.html. This Promotion is open only to those who are otherwise qualified to participate via playing The Met Art Links Game and who meet the eligibility requirements listed herein. Employees, officers, directors and agents of Sponsor, Administrator, any other company involved in the presentation, administration or fulfillment of the Promotion, and/or their respective subsidiaries, affiliated companies and divisions (collectively, the “Promotion Entities”), and each of their immediate family members (defined as any spouse, partner, parent, legal guardian, sibling, child, legal ward, grandparent, or grandchild, regardless of where they reside) and/or those living in the same household are not eligible to enter or receive a Reward (defined below). Sponsor and Administrator reserve the right to verify the eligibility of Reward recipients. Participation constitutes Entrant’s full and unconditional agreement to these Official Rules and to Sponsor’s and Administrator’s decisions, which are final and binding in all matters related to the Promotion.

3. HOW TO ENTER THE PROMOTION: In order to enter into the Promotion, Entrants must first play the Game while logged into their Game Account, following the Game instructions to complete the required tasks to receive in-Game Achievements (“Achievements”). As noted in the Game Rules, throughout the course of the Game Period, five (5) NFT Achievements will be available for players to collect through Game play, and two (2) Achievements will be available for players to collect via purchase, as discussed below.

a.        Game Play Achievements: Five (5) of the seven (7) Achievements available through Game play will require the completion of a certain action, including the collection of Badges by creating Completed Chains (as defined in the Game Rules) through the Game. To learn what Achievements are offered, Players can navigate to the “My Collection” tab via the Game’s dropdown menu, and then select or scroll down to “Achievements.” The Achievements tab will provide instructions on what is required for a Player to qualify for and collect each specific Achievement, as is referenced in Table 1, below. For Achievements that require Game play, Players who successfully accomplish the required task for an Achievement will receive an automatic message upon completion of that required task and related Completed Chain, as applicable, allowing the Player to collect the NFT for the relevant Achievement. Earned Achievements can also be claimed at any point during Game play by navigating to the “My Collection” tab within the Game.

b.        Purchase Achievements: Two (2) of the seven (7) Achievements will be available for purchase during the Promotion Period. Instructions for purchase will be available on-screen in the Game. The for-purchase Achievements will be eligible for use for purposes of Promotion entry in the same manner as Achievements collected exclusively through Game play, and may be used as one method of meeting the requirements for the Superstar Achievement as explained in Table 1 below.  For-purchase achievements do not provide any additional reward to Players. Players may also meet the requirements for the Superstar Achievement without purchase or payment by collecting non-purchase Achievements through Game play, as listed in Table 1 below. Payments for for-purchase Achievements are not tax deductible.

At the end of the Promotion Period, on April 17th, 2025 at 12:01 AM ET Administrator will take a blockchain snapshot to capture the ownership of Achievement NFTs claimed during the Game Period at a specific block (time) (“Snapshot”). Players who have claimed Achievements and who are otherwise eligible to participate in the Promotion as of that date, and whose information is captured by the Snapshot, will be automatically entered into the Promotion as Entrants. Each Entrant will be entered for a chance to receive the Reward that corresponds with the specific Achievement earned during the Game Period for both “Reward Drop 1” and “Reward Drop 2”, as explained below (each, a “Reward”).

Please note: By entering in this Promotion, you signify and agree that your name may be posted on Sponsor’s or Administrator’s website and/or other social media sites or applications associated with the Promotion in a manner that is consistent with these Official Rules. Upon submission of entry in this Promotion, you agree that Sponsor or Administrator may contact you via social media, including on Facebook, Instagram, X, Discord or TikTok by sending you a direct message, tagging you, posting to your social media page or naming you on Sponsor’s social media page. Normal Internet access, phone, and usage charges imposed by your online or phone service may apply. If you are entering via a mobile device and using your wireless carrier’s network, standard data charges from your wireless carrier may apply.

LIMIT ONE (1) ENTRY PER PERSON PER ACHIEVEMENT FOR REWARD DROP 1, AND LIMIT ONE (1) ENTRY PER PERSON PER ACHIEVEMENT FOR REWARD DROP 2. ADDITIONAL ENTRIES IN EXCESS OF THE LIMIT MAY BE DISQUALIFIED. Receiving a Reward for Reward Drop 1 will not preclude an Entrant from receiving a Reward in Reward Drop 2; all entries in Reward Drop 1 will remain eligible for Rewards in Reward Drop 2, regardless of whether the Entrant has received a Reward in Reward Drop 1. Automated and/or third-party entries are prohibited and will be disqualified. Multiple Entrants are not permitted to share the same Account. Any attempt by any Entrant to obtain more than the permitted number of entries by using multiple and/or different identities, forms, registrations, addresses or any other method will void all of that Entrant’s entries, and that Entrant may be disqualified at Sponsor’s and/or Administrator’s discretion. Multiple Entrants are not permitted to share the same email address. Normal Internet, phone and usage charges imposed by your online or phone service may apply. Incomplete, illegible, corrupted or untimely entries are void and will be disqualified. Sponsor, Administrator, and their agencies are not responsible for lost, late, incomplete, damaged, stolen, misdirected or illegible entries; lost, interrupted or unavailable network, server or other connections; or miscommunications, computer or software malfunctions, telephone transmission problems, technical failures, garbled transmissions, damage to a user’s computer equipment (software or hardware) or other errors or malfunctions of any kind, whether human, mechanical, electronic or otherwise. Proof of sending or submission will not be deemed to be proof of receipt by Sponsor and/or Administrator. In the event of a dispute as to the identity of an Entrant, the authorized account holder of the email address used to enter will be deemed to be the Entrant or participant. The “authorized account holder” is the natural person assigned an email address by an Internet access provider, online service provider, Internet service provider or other organization (which may include an employer) responsible for assigning email addresses for the domain associated with the submitted address. Potential Reward recipient may be required to show proof of being the authorized account holder. Entries specifying an invalid, non-working or inactive email address will be disqualified and ineligible to receive a Reward.

4. SELECTION OF REWARD RECIPIENTS:

Reward Drop 1: On or about April 21st, 2025, Administrator will select the email address or digital wallet address of potential Reward recipients of Rewards for Reward Drop 1 in a random drawing from among all eligible entries received as of the time of the Snapshot. The odds of receiving a Reward are based on the number of eligible entries received for each Reward. The potential Reward recipients will be notified on or about April 21st, 2025, on the My Collection page within the Game.

Reward Drop 2: On or about April 23rd, 2025, Administrator will select the email address or digital wallet address of potential Reward recipients of Rewards for Reward Drop 2 in a random drawing from among all remaining eligible entries received as of the time of the Snapshot. The odds of receiving a Reward are based on the number of eligible entries received for each Reward. The potential Reward recipients will be notified on or about April 23rd, 2025,  on the My Collection page within the Game.

Except where legally prohibited, potential Reward recipients of Rewards providing for attendance of on-site events at The Met, of Rewards totaling a value of $600 or more, and potential Reward recipients who are a minor in their jurisdiction of residence must sign and return (or have his or her parent/legal guardian sign and return if potential Reward recipient is a minor in his or her respective jurisdiction of residence), a Declaration of Eligibility, Liability & Publicity Release (“Reward Recipient Release”) within seven (7) days of being notified in order to claim their Reward. If a potential Reward recipient cannot be contacted via email after the first attempt to contact them, or if they fail to sign and return the Reward recipient Release or any other documentation that Sponsor and Administrator may require within the required time period (if applicable), if potential Reward recipient is unable or unavailable to claim Reward or attend a Reward-related event within any time period specified by Sponsor or Administrator, or in the event that a Reward recipient is disqualified for any reason, Sponsor and Administrator may award the applicable Reward to an alternate Reward recipient selected by a random drawing from among all remaining eligible entries, at Sponsor’s and Administrator’s sole discretion. If Sponsor and Administrator are unable to determine and verify a potential Reward recipient after repeated alternate drawings or if they fail to receive a sufficient number of entries to correspond to the number of Rewards available to be awarded, Sponsor and Administrator reserve the right to not award any or all of the Rewards.

Verification of Potential Reward recipients: ALL POTENTIAL REWARD RECIPIENTS ARE SUBJECT TO VERIFICATION BY SPONSOR AND ADMINISTRATOR, WHOSE DECISIONS ARE FINAL AND BINDING IN ALL MATTERS RELATED TO THE PROMOTION. AN ENTRANT IS NOT A RECIPIENT OF ANY REWARD UNLESS AND UNTIL ENTRANT’S ELIGIBILITY HAS BEEN VERIFIED AND ENTRANT HAS BEEN NOTIFIED THAT VERIFICATION IS COMPLETE.

5. REWARDS: There will be five hundred and seventy (570) Rewards awarded in total across Reward Drop 1 and Reward Drop 2, and in accordance with Tables 2 and 3, below. The individual approximate retail value (“ARV”) of each Reward is listed within Tables 2 and 3. The total ARV of all Rewards is $39,437.50. Individual Reward details, ARV, and restrictions are provided below in Table 2 and Table 3.

GENERAL REWARD RESTRICTIONS: Any and all applicable federal, state and local taxes and all fees and expenses related to acceptance and use of Reward not specifically stated herein are the responsibility solely of Reward recipient. Certain Rewards may require attendance at a Reward event, and in such cases, all costs of attendance not listed herein, including costs for transportation, parking, meals, and all incidentals, will be the Reward recipient’s sole responsibility. Reward cannot be substituted, assigned, transferred or redeemed for cash; however, Sponsor and Administrator reserve the right to make equivalent Reward substitutions at their discretion. Sponsor and Administrator will not replace any lost or stolen Rewards. Reward cannot be used in conjunction with any other promotion or offer. Only the number of Rewards stated in these Official Rules is available to be won in the Promotion. If, by reason of a print or other error, more Rewards are claimed than the number set forth in these Official Rules, Reward recipients will be selected in accordance with the Reward selection method described above from among all eligible claimants making purportedly valid claims to award the advertised number of Rewards available. Sponsor and Administrator are not responsible for any delay or cancellation of the Reward delivery due to unforeseen circumstances or those outside of their control. If the fulfilling merchant cancels the order for reasons out of Sponsor’s and Administrator’s control, the Reward will not be delivered and no additional compensation will be provided.

All Reward recipients will be required to work with Sponsor’s agent to make arrangements for Reward fulfillment. Reward recipients will be contacted by Sponsor following Reward recipient selection, and must provide the information requested by Sponsor, and by the time indicated by Sponsor, in order to remain eligible to receive the applicable Reward. In the event a Reward recipient is unable to attend a Reward-related event on the date as indicated within these Official Rules and communicated to Reward recipient by Sponsor, Reward recipient shall forfeit their Reward and an alternative Reward recipient will be selected from remaining eligible entries.

AS APPLICABLE, SPONSOR AND ADMINISTRATOR SHALL NOT BE RESPONSIBLE FOR ANY CANCELLATIONS, DELAYS, DIVERSIONS OR SUBSTITUTIONS OR ANY ACT OR OMISSIONS WHATSOEVER BY ANY ENTERTAINMENT PROVIDERS OR SIMILAR THIRD PARTIES, OR ANY OTHER PERSONS PROVIDING ANY OF THESE REWARD-RELATED EVENTS AND SERVICES TO REWARD RECIPIENTS, INCLUDING ANY RESULTS (INCLUDING BUT NOT LIMITED TO COSTS OR INJURIES) THEREOF, SUCH AS CHANGES IN SERVICES NECESSITATED BY SAME.

VIRTUAL EVENT TICKET REWARD RESTRICTIONS: Reward recipients of a virtual event ticket reward (“Virtual Event Reward”) shall receive an opportunity to participate in a virtual event sponsored by The Met with one (1) guest. Virtual Event Reward recipients will be contacted by a designee of Sponsor  to determine which of the then-available virtual events Reward recipient would like to join. All Virtual Event Rewards will be offered via a Microsoft Teams Live event accessible by the Reward recipient via a computer or mobile device with internet access. No refund or compensation will be made in the event of the cancellation or delay of any Reward event. Reward recipient must comply with any and all Sponsor and/or Teams/Microsoft-related attendance requirements.

PUBLICATION REWARD RESTRICTIONS: Reward recipients of a publication reward (“Publication Reward”) shall be awarded one of the following books, and in the order in which Reward recipients have claimed the associated Achievement: the first five (5) Reward recipients will receive Sleeping Beauties: Reawakening Fashion; the next five (5) Reward recipients will receive Flight into Egypt: Black Artists and Ancient Egypt, 1876–Now; the last ten (10) Reward recipients will receive Van Gogh's Cypresses. Publication Reward distribution is at Sponsor’s sole discretion.

DIGITAL CODE REWARD RESTRICTIONS: The digital code Reward (“Digital Code Reward”) will be provided in the form of a single-use digital code for use online at https://store.metmuseum.org/. The Digital Code Reward is not available for use towards admission into the museum or for any purchase outside of the online  Metropolitan Museum Store, as listed above. The Digital Code Reward may be used towards the retail price of an item for purchase, excluding any shipping and handling fees and taxes, and is available for one-time use only. Standard shipping is included for free as a part of this promotion. All Digital Rewards Codes will expire six (6) months from date of issuance,  and any remaining balance after that time will be forfeited. Digital code does not apply to the purchase of museum admission, gift memberships, donations, eGift Certificates, prior purchases, clearance products or select items. Cannot be combined with other offers or discounts. Additional terms and conditions may apply to the Digital Code Reward, and will be provided to a Reward recipient at the time of Reward fulfillment.

MEMBERSHIP REWARD RESTRICTIONS: Recipients of a Membership Reward (“Membership Reward”) will receive one (1) yearlong “Individual” Membership at The Met. For any Membership Reward recipients with existing Memberships for The Met, those Reward recipients will have their current Membership automatically extended for one (1) year beyond their current Membership’s expiration date. The Membership Reward will provide all benefits available for an Individual Membership, as provided on The Met’s website at https://engage.metmuseum.org/members/membership?promocode=56373.  Recipients of a Membership Reward will receive a physical Membership card, however, can participate in Membership activities, benefits, and discounts with or without their physical card in handwhile their Membership Reward is active.

Members may always visit and shop without their card by visiting the Membership Desk or any admissions desk with your ID number or name. Membership Rewards shall expire one (1) year after the date of Reward distribution or after the date of voucher redemption, and shall not automatically renew. Membership benefits may not be refunded, resold, exchanged, or transferred. Admissions tickets and Membership benefits may not be used for group visits. By visiting the Museum, you agree to comply with our Visitor Guidelines, accessible at https://www.metmuseum.org/policies/visitor-guidelines. By entering your information, you agree to receive Membership renewal information. The level of renewal Membership offered will be determined by your mailing address.

EXHIBITION PREVIEW REWARD, MEMBER EVENT REWARD, AND PRIVATE TOUR WITH CURATOR REWARD RESTRICTIONS: Each exhibition preview Reward (“Exhibition Preview Reward”), member event Reward (“Member Event Reward”) and private tour with Curator Reward (“Private Tour with Curator Reward”) shall include tickets for Reward recipient and one (1) guest to attend an upcoming exhibition preview, member event, or private tour at The Met, as applicable:

• Reward recipients of the Exhibition Preview Reward will receive tickets for Reward recipient and one (1) guest to attend the Man Ray Member Exhibition Preview at The Met on September 11, 2025. The date of the Exhibition Preview Reward is subject to change at Sponsor’s discretion; in the event the date is moved, Sponsor will work with Reward Recipient to reschedule attendance of the Reward-related event.

• Reward recipients of the Member Event Reward will receive tickets for Reward recipient and one (1) guest to attend the Costume Institute Member Reception at The Met on June 2, 2025. The date of the Member Event Reward is subject to change at Sponsor’s discretion; in the event the date is moved, Sponsor will work with Reward Recipient to reschedule attendance of the Reward-related event

• Reward recipients of the Private Tour with Curator Reward will receive tickets for Reward recipient and one (1) guest to attend a private tour at The Met July 15, 2025. The date of the Private Tour with Curator Reward is subject to change at Sponsor’s discretion; in the event the date is moved, Sponsor will work with Reward Recipient to reschedule attendance of the Reward-related event

The exact times of Reward-related events will be communicated to Reward recipients by Sponsor in advance of the Reward-related event. All travel and attendance-related costs, including but not limited to costs associated with transportation, parking, incidentals, and meals, shall not be provided as a part of the Reward and are the sole responsibility of Reward recipient. An agent of The Met shall reach out to Reward recipients of the Exhibition Preview Rewards, Member Event Rewards, and Private Tour with Curator Rewards to determine which future applicable event the Reward recipient is available to attend; final selection is at The Met’s sole discretion based on timing and availability. If required, Reward recipient must be available to attend a Reward event on the date and time specified by Sponsor, or risk forfeiting the Reward. Reward recipient and guest must attend the selected Reward event together. Guest must be at least eighteen (18) years of age or older at the time of attendance of the Reward event, unless guest is accompanied by guest’s parent or legal guardian. No refund or compensation will be made in the event of the cancellation or delay of any Reward event. Reward recipient and guest must comply with all attendance requirements provided and issued by The Met.

6. GENERAL CONDITIONS: Promotion participation constitutes Entrant’s full and unconditional agreement to these Official Rules and to Sponsor’s and Administrator’s decisions, which are final and binding in all matters related to the Promotion. In the event there is a discrepancy or inconsistency between the disclosures or other statements (in any and/or all media) contained in any Promotion materials, the Game Rules, the Sponsor’s Terms of Use, Sponsor’s Privacy Policy, Administrator’s Terms of Use, Administrator’s Privacy Policy, and the terms and conditions of the Official Rules, the Official Rules shall prevail, govern and control. Proof of sending or submission of entry will not be deemed proof of receipt by Sponsor and Administrator. Sponsor’s and Administrator’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

WARNING: ANY ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEBSITE OR GAME ASSOCIATED WITH THIS PROMOTION OR TO UNDERMINE THE LEGITIMATE OPERATION OF THE PROMOTION MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAW, AND, SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR AND ADMINISTRATOR RESERVES THE RIGHT TO PROSECUTE AND SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW. Sponsor and Administrator reserve the right to disqualify any individual it finds to be attempting to tamper with or to undermine the entry process, the Game, any website associated with the Promotion, and/or the legitimate operation of the Promotion; to violate the Official Rules; or to act in an unsportsmanlike or disruptive manner or with the intent to annoy, abuse, threaten or harass any other person.

The Promotion Entities are not responsible for (1) any incorrect or inaccurate information, whether caused by Entrants, printing errors or by any of the equipment or programming associated with or utilized in the Promotion; (2) technical failures of any kind, including, but not limited to, malfunctions, interruptions or disconnections in phone lines or network hardware or software; (3) unauthorized human intervention in any part of the entry process or the Promotion; (4) technical or human error that may occur in the administration of the Promotion or the processing of entries; or (5) any injury or damage to persons or property that may be caused, directly or indirectly, in whole or in part, from Entrant’s participation in the Promotion or receipt or use or misuse of any Reward. Sponsor and Administrator reserve the right to cancel, suspend and/or modify the Promotion, or any part of it, if any fraud, technical failures or any factor beyond Sponsor’s or Administrator’s reasonable control impairs the integrity or proper functioning of the Promotion, as determined by Sponsor and Administrator. If, for any reason, the Promotion cannot be run as planned, Sponsor and Administrator may disqualify any suspect entries and (a) suspend the Promotion and modify the Promotion to address the impairment, then resume the Promotion in a manner that best conforms to the spirit of these Official Rules; and/or (b) terminate the Promotion and award the Reward at random from among the eligible, non-suspect entries received up to the time of the impairment.

THE RELEASED PARTIES ARE NOT RESPONSIBLE IF THIS PROMOTION CANNOT BE ADMINISTERED OR CONDUCTED OR ANY REWARD CANNOT BE AWARDED DUE TO CANCELLATIONS, DELAYS, OR INTERRUPTIONS RESULTING OR ARISING FROM ACTS OF GOD, WAR, OR TERRORISM, CIVIL UNREST, STRIKES, SUPPLY SHORTAGES, NATURAL DISASTERS, WEATHER, PANDEMICS, EPIDEMICS, WIDESPREAD ILLNESS, COMPLIANCE WITH ANY LAW OR ORDER OF A GOVERNMENTAL AUTHORITY, OR ANY OTHER SIMILAR ACT, EVENT OR OCCURRENCE BEYOND THE REASONABLE CONTROL OF THE SPONSOR OR ADMINISTRATOR. BY PARTICIPATING IN THIS PROMOTION, ENTRANT AGREES THAT THE RELEASED PARTIES WILL NOT BE RESPONSIBLE OR LIABLE FOR ANY INJURIES, DAMAGES OR LOSSES OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES TO PERSONS, INCLUDING DEATH, OR TO PROPERTY ARISING OUT OF ACCESS TO AND USE OF ANY WEBSITE ASSOCIATED WITH THIS PROMOTION OR THE DOWNLOADING FROM AND/OR PRINTING MATERIAL DOWNLOADED FROM SUCH SITE.

8. PUBLICITY AND INTELLECTUAL PROPERTY RELEASE: EXCEPT WHERE PROHIBITED BY LAW, PARTICIPATION IN THE PROMOTION CONSTITUTES REWARD RECIPIENT’S PERMISSION AND GRANT TO SPONSOR AND ADMINISTRATOR (WHICH GRANT WILL BE CONFIRMED IN WRITING ON REQUEST OF SPONSOR OR ADMINISTRATOR) AND ITS DESIGNEES THE RIGHT AND PERMISSION TO PRINT, PUBLISH, BROADCAST AND USE, WORLDWIDE IN ANY MEDIA NOW KNOWN OR HEREAFTER DEVELOPED, INCLUDING, BUT NOT LIMITED TO, THE WORLD WIDE WEB, AT ANY TIME OR TIMES, THE REWARD RECIPIENT’S ENTRY, NAME, PORTRAIT, PICTURE, VOICE, LIKENESS, OPINIONS AND BIOGRAPHICAL INFORMATION (INCLUDING, BUT NOT LIMITED TO, HOMETOWN AND STATE), REWARD INFORMATION, QUOTES ATTRIBUTABLE TO REWARD RECIPIENT, AND ANY OTHER ELEMENTS OF ENTRANT’S PERSONA FOR ADVERTISING, TRADE AND PROMOTIONAL PURPOSES (INCLUDING THE ANNOUNCEMENT OF HIS OR HER NAME ON TELEVISION OR RADIO BROADCAST) WITHOUT ADDITIONAL CONSIDERATION, COMPENSATION, PERMISSION OR NOTIFICATION, INCLUDING IN A LIST TO BE USED BY SPONSOR, ADMINISTRATOR, AND THEIR DESIGNEES AND PARTNERS TO RE-TARGET ENTRANTS VIA EMAIL OR ANY SPONSOR OR ADMINISTRATOR APP, UNLESS PROHIBITED BY LAW.

WITHOUT LIMITING THE FOREGOING, EVERYTHING REGARDING THIS PROMOTION, INCLUDING EACH NFT, THE GAME, AND ANY WEBSITE ASSOCIATED WITH THIS PROMOTION, AND ALL REWARDS, ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. SOME JURISDICTIONS MAY NOT ALLOW THE LIMITATIONS OR EXCLUSIONS OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES OR EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY. CHECK LOCAL LAWS FOR ANY RESTRICTIONS OR LIMITATIONS REGARDING THESE LIMITATIONS OR EXCLUSIONS.

9.  GOVERNING LAW. These Official Rules and your use participation in the Promotion shall be governed by and construed for both substantive and procedural purposes in accordance with the laws of the State of New York, U.S.A., without giving effect to any principles of any choice or conflict of law provision or rule (whether of the State of New York or any other jurisdiction) that would cause the laws of any jurisdiction other than those of the State of New York to apply.
10. DISPUTES.  

1. Timing of Claims: Any cause of action or claim you may have with respect to the Promotion and/or the Promotion Entities must be commenced within one (1) year after the claim or cause of action arises.
2. Arbitration and Venue: Any dispute relating in any way to your use of the Promotion and/or the Promotion Entities shall be submitted to confidential arbitration in New York, New York, except that, to the extent you have in any manner violated or threatened to violate our intellectual property rights, we may seek injunctive or other appropriate relief in any state or federal court, and you consent to jurisdiction and venue in such courts. Arbitration under these Terms shall be conducted under the rules then prevailing of the American Arbitration Association in accordance with its Commercial Arbitration Rules (currently available at https://adr.org/sites/default/files/Commercial Rules.pdf) and before a single arbitrator.
3. Ultimately, the selected arbitrator must have expertise in the subject matter of the dispute. The expenses of the arbitration charged by the arbitrator shall be borne by the non-prevailing party or otherwise as appropriately allocated between the parties to the arbitration by the arbitrator in his or her discretion. However, in every other regard, except as otherwise set forth in these Official Rules, each party shall pay for and bear its own costs and legal fees, costs, and expenses. The arbitration shall be completed within one hundred twenty (120) days of either giving notice or filing a demand to arbitrate with the American Arbitration Association (whichever shall first occur).
4. Final Arbitration: The arbitrator’s award shall be binding and may be entered as a judgment in any court of competent jurisdiction. The testimony, evidence, ruling, and all documentation regarding any arbitration shall be considered confidential information. Neither party may use, disclose, or divulge any such information unless otherwise required by law.
5. Class Action Waiver: To the fullest extent permitted by applicable law, no arbitration under these Official Rules shall be joined to an arbitration involving any other party subject to these Official Rules, whether through class arbitration proceedings or otherwise. You agree to an arbitration on an individual basis. IN ANY DISPUTE, NEITHER YOU NOR WE WILL BE ENTITLED TO JOIN OR CONSOLIDATE CLAIMS BY OR AGAINST OTHER PLAYERS OR INTERESTED INDIVIDUALS IN COURT OR IN ARBITRATION OR OTHERWISE PARTICIPATE IN ANY CLAIM AS A CLASS REPRESENTATIVE, CLASS MEMBER, OR IN A PRIVATE ATTORNEY GENERAL CAPACITY. The arbitral tribunal may not consolidate more than one (1) person’s claims, and may not otherwise preside over any form of a representative or class proceeding. The arbitral tribunal has no power to consider the enforceability of this class arbitration waiver and any challenge to the class arbitration waiver may only be raised in a court of competent jurisdiction.

11. SEVERABILITY: If any term or provision of these Official Rules, excluding the Disputes section above, is found under the law to be invalid or unenforceable, then such specific term or provision shall be of no force and effect and shall be severed, and the remainder of these Official Rules shall continue in full force and effect.

12. PRIVACY: Information collected from Entrants is subject to the Administrator’s Privacy Policy, which can be found at https://cdn.trlab.com/terms/privacy_policy.html, and the Sponsor’s Privacy Policy, which is accessible at https://www.metmuseum.org/policies/privacy-policy.
